Keshflip Terms and Conditions

1. Introduction and Acceptance

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Keshflip ("Keshflip," "we," "us," or "our"), the digital exchange platform headquartered in Dubai UAE, operating under the Keshflip brand. These Terms govern your access to and use of the Services, which include but are not limited to fiat-to-crypto and crypto-to-fiat exchange, peer-to-peer (P2P) trading facilities, custodial and non-custodial digital asset wallet services, QR code payment functionalities, and cross-border fiat remittance services.

By registering for an account, accessing the platform, or using any of the Services, you confirm that you have read, understood, and accepted all provisions of these Terms, as well as our Privacy Policy and any other policies or guidelines referenced herein or provided separately. We reserve the right to modify or amend these Terms at any time, and will provide notice of such changes, such as by posting the revised Terms on our website or updating the "Date" at the top. Your continued use of the Services after such notice constitutes your acceptance of the revised Terms.

2. Eligibility and Account Registration

To be eligible to use the Keshflip Services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. You must not be located in, or a resident of, any jurisdiction where accessing or using the Services would be contrary to applicable law or regulation, or any jurisdiction subject to sanctions enforced by relevant authorities (including but not limited to UN, Canadian, EU, US sanctions). Keshflip may impose additional eligibility requirements based on jurisdiction or risk assessment.

To access most Services, you must register for a Keshflip account ("Account"). During registration, you agree to provide accurate, current, and complete information as prompted by the registration process, including information required for identity verification and compliance with our Anti-Money Laundering (AML) and Counter-Terrorist Financing (CFT) Policy. You are responsible for maintaining the security of your Account credentials (including passwords and any multi-factor authentication details) and are fully responsible for all activities that occur under your Account. You agree to notify Keshflip immediately of any unauthorized use of your Account or any other breach of security. Keshflip reserves the right to refuse account registration, suspend, or terminate accounts in its sole discretion, particularly if false information is provided or suspicious activity is detected.

3. Description of Keshflip Services

Keshflip provides a platform for various digital finance activities:

• Fiat and Cryptocurrency Exchange: Facilitating the buying and selling of supported digital assets (cryptocurrencies) using supported local and international fiat currencies (e.g., KES, SOS, USD, CAD).

• Peer-to-Peer (P2P) Trading: Providing a platform where users can directly trade fiat currency and digital assets with each other, subject to Keshflip's rules and oversight.

• Digital Asset Wallets: Digital Asset Wallets: Offering fully non-custodial wallet services where users retain complete control of their private keys. Keshflip provides secure interfaces—such as our mobile app—to facilitate easy access, management, and use of your digital assets without ever holding or having access to your private keys.

• QR Payments: Enabling users to make or receive payments using QR codes linked to their Keshflip accounts or associated wallets.

• Cross-Border Remittances: Facilitating the transfer of fiat funds across borders between supported jurisdictions.

The availability of specific Services may vary depending on your jurisdiction, account verification level, and Keshflip's operational decisions. Keshflip does not provide investment, financial, legal, or tax advice. Any information provided through the Services is for informational purposes only.

4. User Obligations and Conduct

As a user of Keshflip Services, you agree to:

• Comply with all applicable laws, regulations, and these Terms.

• Provide accurate information during registration and keep it updated.

• Maintain the security of your Account credentials.

• Use the Services only for lawful purposes and not engage in any activity that is fraudulent, abusive, manipulative, or harmful to Keshflip or other users.

• Not use the Services to facilitate any illegal activities, including but not limited to money laundering, terrorist financing, fraud, or transactions involving sanctioned parties or jurisdictions.

• Cooperate fully with Keshflip in any investigation regarding potential violations of these Terms or applicable laws, including providing requested information for AML/CFT compliance and due diligence.

• Assume responsibility for understanding and paying any taxes applicable to your transactions conducted through the Services.

• Not attempt to circumvent any security features, access controls, or rate limits imposed by Keshflip.

• Not engage in market manipulation (e.g., wash trading, spoofing) on the P2P platform or exchange.

5. Fees and Payments

Keshflip may charge fees for certain Services, such as trading fees, withdrawal fees, remittance fees, or network fees for cryptocurrency transactions. A schedule of applicable fees will be made available on the Keshflip website or within the platform interface. Fees are subject to change at Keshflip's discretion, with notice provided where feasible. By using the Services, you agree to pay all applicable fees. You authorize Keshflip to deduct applicable fees directly from your Account balance or transaction amounts.

All payments and transactions are processed according to the rules and procedures outlined within the platform. Keshflip is not responsible for delays or failures caused by third-party payment processors, banks, or blockchain network congestion.

6. Risks Associated with Digital Assets

You acknowledge and agree that trading and holding digital assets involves significant risk. The value of digital assets can be highly volatile and can fluctuate substantially, potentially resulting in a partial or total loss of value. Risks include, but are not limited to, market volatility, liquidity risk, operational risks (e.g., platform downtime), cybersecurity risks (hacking, theft), regulatory uncertainty, and blockchain network risks (e.g., forks, 51% attacks). Keshflip does not guarantee the value or liquidity of any digital asset. You should carefully consider your financial situation and risk tolerance before engaging in any digital asset transactions. You are solely responsible for any losses incurred.

For non-custodial wallets, you are solely responsible for securing your private keys. Loss of private keys will result in the irreversible loss of access to your digital assets stored in that wallet. Keshflip has no ability to recover lost private keys for non-custodial wallets.

7. Intellectual Property

All content, trademarks, service marks, logos, designs, and other intellectual property associated with the Keshflip platform and Services are the property of Keshflip or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purposes in accordance with these Terms. You agree not to copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

8. Privacy

Your privacy is important to us. Our collection, use, storage, and protection of your personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy carefully to understand our practices.

9. Disclaimers and Limitation of Liability

THE KESHFLIP SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. KESHFLIP DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KESHFLIP, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF KESHFLIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES OR ANY CONTENT THEREIN. KESHFLIP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO KESHFLIP DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless Keshflip and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your access to or use of the Services, (b) your violation of these Terms or any applicable law or regulation, (c) your violation of any rights of any third party, or (d) any content or information you submit or transmit through the Services.

11. Termination and Suspension

Keshflip reserves the right, in its sole discretion, to suspend, restrict, or terminate your access to any or all of the Services, and/or to deactivate or cancel your Account, with or without notice, for any reason, including but not limited to: (a) violation of these Terms, our Privacy Policy, or AML/CFT Policy; (b) suspected involvement in fraudulent, illegal, or suspicious activities; (c) requests from law enforcement or government agencies; (d) operational or security reasons; or (e) inactivity.

You may terminate your Account at any time by following the procedures outlined within the platform, subject to the completion of any pending transactions and compliance requirements. Termination of your Account does not relieve you of any obligations incurred prior to termination.

Upon termination, Keshflip may retain certain information as required by law or for legitimate business purposes, such as compliance, record-keeping, and dispute resolution.

12. Compliance with Laws

You are responsible for complying with all laws and regulations applicable to your use of the Services in your jurisdiction, including but not limited to financial regulations, AML/CFT laws, and tax laws. Keshflip operates in compliance with applicable regulations in the jurisdictions it serves, including requirements set forth by relevant regulatory bodies for Money Services Businesses (MSBs).

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Governing Jurisdiction

14. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and any other referenced documents, constitute the entire agreement between you and Keshflip regarding the Services and supersede all prior agreements or understandings.

• Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

• Waiver: Keshflip's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

• Assignment: You may not assign or transfer any of your rights or obligations under these Terms without Keshflip's prior written consent. Keshflip may assign or transfer its rights and obligations under these Terms without restriction.

• Notices: Keshflip may provide notices to you via email, posting on the website, or through the platform interface. Notices are deemed effective upon transmission or posting
